VietReach Seller Agreement

1. Who this agreement is between

This is a placeholder agreement between VietReach (“the platform”) and the business accepting it (“the seller”). Final legal language will be supplied by counsel before live payments are enabled.

By accepting, the person acting for the seller confirms they are authorised to bind the business.

2. Selling on VietReach

The seller is the merchant of record for everything it sells. The seller is responsible for the accuracy of listings, prices, availability, tax collection where applicable, and for delivering the product or service the customer paid for.

VietReach provides the storefront, discovery, deals and checkout tooling. VietReach does not take ownership of the seller’s goods or services.

3. Platform service fee

VietReach charges a service fee on each completed order. The current fee percentage is shown at checkout and in the seller’s Payouts section, and may be changed with notice.

The fee is added on top of the seller’s listed price. The customer pays the listed price plus the VietReach service fee, so the seller receives its full listed amount, less Stripe’s own processing fees.

When a deal is applied, the discount reduces the seller’s price first and the service fee is calculated on the discounted amount.

4. Payouts

Payments are processed by Stripe using a connected Stripe Express account in the seller’s name. Funds are settled by Stripe directly to the seller’s bank account on Stripe’s standard payout schedule.

VietReach never holds seller funds. The seller must keep its Stripe account in good standing; if Stripe disables charges or payouts, listings are automatically suspended.

5. Refunds, disputes and chargebacks

The seller is solely responsible for its refund and cancellation policy, for issuing refunds, and for responding to disputes and chargebacks.

Chargeback and dispute amounts, plus any related Stripe fees, are the seller’s responsibility. The VietReach service fee on a refunded order is not automatically returned unless required by law.

6. Prohibited items and conduct

The seller may not list anything prohibited by law or by Stripe’s restricted business list. VietReach may remove listings, deals, or suspend selling at its discretion.

7. Changes and termination

Either side may end this agreement at any time. Orders already placed must still be fulfilled or refunded.

When this agreement is updated, sellers will be asked to accept the new version before continuing to sell.
